1. You have the legal capacity to agree to these Terms and will comply with them;

2. You are not a minor in your place of residence, or if you are a minor, you have obtained parental or guardian permission to use the Services;

4. You will not use the Services for any unlawful, unauthorized, or prohibited purpose; and

As a user, you agree not to:

• Collect user information, such as usernames or email addresses, for sending unsolicited communications or creating fake accounts.

• Use the Services to compete with Curious Mindz or for any commercial or revenue-generating activities without our explicit consent.

Curious Mindz may invite you to participate in chats, blogs, message boards, online forums, and other interactive features that allow you to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials (“Contributions”) including, but not limited to, text, writings, videos, audio, photos, graphics, comments, suggestions, personal information, or other materials.

Please note that your Contributions may be visible to other users of the Services and potentially accessible via third-party websites. Therefore, any Contributions you share are treated as non-confidential and non-proprietary.

By submitting Contributions, you represent and warrant that:

• The creation, distribution, transmission, public display or performance, and any downloading or copying of your Contributions will not infringe the intellectual property rights (including copyright, patent, trademark, trade secret, or moral rights) of any third party.

• You are either the original creator and owner of your Contributions or have obtained all necessary licenses, rights, consents, releases, and permissions to allow Curious Mindz, the Services, and other users to use your Contributions in all ways contemplated by the Services and these Terms.

• You have obtained written consent, releases, and permissions from every identifiable individual featured in your Contributions to use their name, image, or likeness as part of your Contributions.

• Your Contributions are truthful and not false, inaccurate, or misleading.

• Your Contributions are not unsolicited advertisements, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.

• Your Contributions are not obscene, offensive, violent, harassing, defamatory, slanderous, or otherwise objectionable as determined by Curious Mindz.

• Your Contributions do not ridicule, mock, disparage, intimidate, or abuse any individual or group.

• Your Contributions do not harass, threaten, or promote violence against any person or group.

• Your Contributions comply with all applicable laws, regulations, and rules.

• Your Contributions do not violate any privacy or publicity rights of third parties.

• Your Contributions do not contain child exploitation material or violate laws protecting minors.

• Your Contributions do not contain offensive comments related to race, ethnicity, national origin, gender, sexual orientation, disability, or other protected categories.

• Your Contributions do not violate any other provisions of these Terms or applicable law.

Any violation of these terms in connection with your Contributions may result in the suspension or termination of your access to the Services, among other remedies.

By posting your Contributions to any part of the Curious Mindz Services, you automatically grant, and warrant that you have the right to grant, to Curious Mindz an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide licence to:

• host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute your Contributions (including, without limitation, your image and voice),

• prepare derivative works of, or incorporate your Contributions into other works,

• and grant sublicences of the foregoing rights.

This licence applies for any media formats and channels now known or developed in the future.

The licence also covers the use of your name, company name, franchise name (if applicable), trademarks, service marks, trade names, logos, and any personal or commercial images you provide. You waive all moral rights in your Contributions and confirm that no moral rights have been asserted over your Contributions.

Curious Mindz does not claim ownership of your Contributions. You retain full ownership and all intellectual property or proprietary rights associated with them. We are not responsible for any statements or representations contained in your Contributions. You alone are responsible for your Contributions and agree to hold Curious Mindz harmless from any claims or legal actions arising from your Contributions.

We reserve the right, at our sole discretion, to:

1. Edit, redact, or modify any Contributions;

2. Re-categorise Contributions to appropriate sections within the Services; and

3. Pre-screen, remove, or delete any Contributions at any time and for any reason, without prior notice.

We have no obligation to monitor Contributions but may do so as we see fit.

The Curious Mindz Services may contain links to other websites (“Third-Party Websites”) as well as articles, photographs, text, graphics, music, videos, software, and other content or items belonging to or originating from third parties (“Third-Party Content”).

We do not investigate, monitor, or verify the accuracy, appropriateness, or completeness of any Third-Party Websites or Third-Party Content. Curious Mindz is not responsible or liable for any Third-Party Websites accessed through our Services or any Third-Party Content posted on, available through, or installed from the Services. This includes, without limitation, the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of such third-party sites or content.

The inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or Third-Party Content does not imply our approval, sponsorship, or endorsement of those websites or content.

If you choose to leave the Curious Mindz Services to access Third-Party Websites or use/install Third-Party Content, you do so at your own risk. Our Legal Terms no longer govern your use of those sites or content.

You should carefully review the terms, policies, and privacy practices of any website you visit or application you install from the Services.

Any purchases made through Third-Party Websites are solely between you and the third party. Curious Mindz takes no responsibility for such transactions.

You agree to hold Curious Mindz harmless and indemnify us from any loss, damage, or harm arising from your purchase of products or services from Third-Party Websites, or your use of any Third-Party Content or interactions with Third-Party Websites.

Curious Mindz reserves the right, but is not obligated, to:

1. Monitor the Services for any violations of these Legal Terms;

2. Take appropriate legal action against any user who, at our sole discretion, violates applicable laws or these Legal Terms, including reporting such users to relevant law enforcement authorities;

3. Refuse, restrict access to, limit availability of, or disable (where technologically feasible) any of your Contributions or any part thereof at our sole discretion, without limitation;

4. Remove or disable any files or content that are excessive in size or place an undue burden on our systems, without prior notice or liability;

5. Manage and operate the Services as necessary to protect Curious Mindz’s rights and property, and to ensure the proper functioning and security of the Services.

If you choose to make a payment using an online payment method, the transaction will be processed by our trusted third-party payment service provider(s). With your consent, your credit card or payment information may be securely stored by these third-party providers to facilitate future payments.

Curious Mindz reserves the right to pursue all lawful remedies if any dispute or issue arises concerning your payment, or if full payment is not received.

The Curious Mindz platform and payment methods may only be used to pay for services offered by Curious Mindz under these Terms. You are not permitted to use the payment system to send money for any other purpose not related to the payment of services provided by Curious Mindz.

By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms and may be updated or modified by us from time to time without further notice.

Please note that the Services are hosted in Singapore. If you access the Services from outside Singapore, where local laws governing personal data collection, use, or disclosure differ from Singapore’s laws, your continued use of the Services constitutes your consent to the transfer, processing, and storage of your personal data in Singapore.

These Legal Terms remain in full force and effect for as long as you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT, AT OUR SOLE DISCRETION AND WITHOUT PRIOR NOTICE OR LIABILITY, TO DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING BUT NOT LIMITED TO VIOLATIONS OF THESE LEGAL TERMS OR APPLICABLE LAWS OR REGULATIONS.

We may terminate or suspend your access to the Services, remove any content you have posted, or delete your account at any time and for any reason, without warning.

If your account is terminated or suspended, you are prohibited from registering a new account under your own name, a false name, a borrowed name, or the name of any third party, regardless of whether you act on behalf of such third party.

In addition to terminating or suspending your account, we reserve the right to pursue any legal remedies available to us, including civil, criminal, and injunctive actions.

We reserve the right to change, modify, or remove any part of the Services, including these Legal Terms and our Privacy Policy, at any time and for any reason, at our sole discretion, without prior notice. However, we are not obligated to update any information, terms, or policies on the Services.

We do not guarantee uninterrupted or error-free access to the Services. The Services may experience temporary outages, delays, or errors due to hardware, software, or other technical issues, including scheduled or emergency maintenance.

We may suspend, discontinue, or modify the Services, in whole or in part, at any time and without notice. You agree that we shall not be liable for any loss, damage, or inconvenience caused by any interruption, suspension, or discontinuance of the Services.

Nothing in these Legal Terms obligates us to maintain, support, or provide updates, corrections, or new releases of the Services.

These Legal Terms shall be governed by and construed in accordance with the laws of Singapore. You and Curious Mindz irrevocably consent to the exclusive jurisdiction of the courts of Singapore to resolve any disputes arising out of or relating to these Legal Terms.

Any dispute arising out of or in connection with these Terms or your use of the Curious Mindz Services, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by the courts of the Republic of Singapore. You hereby submit to the exclusive jurisdiction of these courts.

At our sole discretion, we may refer any dispute to arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the then-current Arbitration Rules of SIAC (“SIAC Rules”), which are incorporated by reference into this clause. The arbitration shall proceed as follows:

(a) The seat of arbitration shall be Singapore;
(b) The tribunal shall consist of one (1) arbitrator, agreed upon according to the SIAC Rules. If no agreement is reached within thirty (30) calendar days of a party’s proposal, the arbitrator will be appointed by the Chairman of SIAC;
(c) The language of arbitration shall be English; and
(d) All information, pleadings, documents, evidence, and matters relating to the arbitration shall remain confidential.

If we are named as a defendant or respondent, we shall have at least thirty (30) calendar days prior to the commencement of any legal proceedings to elect arbitration as the dispute resolution method under this clause. This right to elect arbitration does not limit any limitation defenses available to us, and the exercise period will not be shortened by any limitation accrual during that time.

The Services may contain information that includes typographical errors, inaccuracies, or omissions, such as descriptions, pricing, availability, and other details. We reserve the right to correct any such errors, inaccuracies, or omissions and to update or change the information on the Services at any time without prior notice.

The Services are provided on an “as-is” and “as-available” basis. Your use of the Services is at your sole risk. To the fullest extent permitted by applicable law, we expressly disclaim all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no representations or warranties regarding the accuracy, completeness, or reliability of the content provided through the Services or any websites or mobile applications linked thereto. We shall not be liable for any of the following:

1. Errors, mistakes, or inaccuracies in any content or materials;

2. Personal injury or property damage of any nature resulting from your use of or access to the Services;

4. Interruptions, delays, or cessation of transmissions to or from the Services;

We shall not be a party to or responsible for monitoring any transaction between you and any third-party providers of products or services.

To the maximum extent permitted by applicable law, neither we nor our directors, employees, agents, or affiliates shall be liable to you or any third party for any direct, indirect, incidental, consequential, exemplary, special, or punitive damages, including but not limited to lost profits, lost revenue, loss of data, or any other damages arising out of or in connection with your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless us, our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees from and against any losses, damages, liabilities, claims, demands, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

2. Your use of the Services;

4. Any breach of your representations and warranties in these Legal Terms;

5. Your violation of any rights of third parties, including intellectual property rights; or

6. Any harmful or unlawful acts toward other users with whom you interact via the Services.

We reserve the right, at your expense, to assume the exclusive defense and control of any claim subject to indemnification by you. You agree to cooperate with us in the defense of any such claims at your expense. We will make reasonable efforts to notify you promptly upon becoming aware of any such claim, action, or proceeding.

These Legal Terms, together with any policies or operating rules posted by us on the Services or in connection with the Services, constitute the entire agreement and understanding between you and us.

Our failure to exercise or enforce any right or provision under these Legal Terms shall not constitute a waiver of such right or provision. These Terms shall be enforced to the fullest extent permitted by applicable law.

We may assign any or all of our rights and obligations under these Legal Terms to third parties at any time, without prior notice or your consent. We shall not be liable for any loss, delay, damage, or failure to act that results from causes beyond our reasonable control.

If any provision of these Legal Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity or enforceability of the remaining provisions.

No agency, partnership, joint venture, or employment relationship is created between you and us as a result of these Legal Terms or your use of the Services.

You agree that these Legal Terms shall not be construed against us solely because we drafted them. You also waive any and all defences based on the electronic form of these Legal Terms and the absence of physical signatures by the parties.
